Allarity’s Board entered into an agreement and plan of merger (the "Merger Agreement") with Sun Pharmaceutical Industries Ltd. ("Sun Pharma") on January 17, 2024. The Company’s Board then released a materially incomplete proxy statement on April 15, 2024. The proxy statement included incomplete information on the methodology and key assumptions used in valuation by BofA Securities, Inc. Based on these facts, the Company’s public statements were false and materially misleading throughout the class period. When the market learned the truth about Allarity, investors suffered damages.
