Arbonia AG / Key word(s): Expansion/Takeover Arbon, 17 May 2024 – Arbonia is actively consolidating the European competition landscape in the area of interior and special doors by acquiring the Spanish market leader for interior doors in south-western Europe, Dimoldura, as well as the Czech company Lignis for special doors. With the two acquisitions, Arbonia is expanding its geographic footprint into south-western and Eastern Europe in line with its strategy and has taken another step towards its ambition of market leadership in Europe. The markets of Dimoldura, based in Toledo (ES), complement the existing sales markets of the Doors Division. While the Doors Division enjoys leading market positions in the DACH markets and Eastern Europe, Dimoldura is the market leader in the area of wooden interior doors in Spain, the fifth-largest European door market, and is also active with a strong market presence in Portugal and France. The Doors Division is additionally expanding its presence in the contractor services business and DIY business. Together with the Polish Arbonia door company Invado, the division is thus active in DIY business throughout Europe. In 2023, Dimoldura generated revenue of EUR ~120 million with a double-digit EBITDA margin, which is currently considerably higher than the margin of the Doors Division. The organic revenue growth in the past 3 years was over 13 % per year. The production plants in Spain, Portugal, and France are fully integrated, and the processes are highly efficient, which leads to the best delivery times in the market. The second acquisition, the Czech company Lignis, is a specialist for functional doors and serves the contractor services business incl. assembly. Lignis is the only door manufacturer in Czechia that can provide the entire product portfolio from standard doors to functional doors made of wood and metal. This acquisition will make Arbonia with its Doors Division the second-largest provider in Czechia and Slovakia. Like Dimoldura, Lignis also has a cost-efficient production. Future strengthening of cross-selling activities in sales, an even more complete product portfolio, the strong market positions, as well as a higher shared value creation in the areas of R&D and Purchasing will allow the division to benefit from synergies and grow in a sustainable way, which will strengthen them even more. "With the diversification of our end markets into Eastern and Southwest Europe, we are making a big step with Dimoldura and Lignis towards the development and execution of the strategy of Arbonia Doors: evolving from a primarily Central European into a market-leading, pan-European full-range supplier", remarks Claudius Moor, CEO of the Doors Division. Arbonia is taking over all of Dimoldura’s and Lignis’ activities, including the approximately 600 employees, to ensure that long-standing customer relationships with existing contact persons and ongoing projects can be continued smoothly. The contract signing as well as the closing of Dimoldura took place on 16 May 2024; the signing of Lignis took place on Thuesday, 14 May 2024. The closing of Lignis will take place at the beginning of July 2024. Both acquisitions are primarily financed by a bridge loan in the amount of EUR 100 million as well as by existing credit lines. The bridge loan is to be returned to the Climate Division after the sale has been closed.
