naoo AG secures a EUR 25 million equity facility from GEM Global Yield

Zug/New York, January 29, 2025 – naoo AG (ISIN: CH1323306329, WKN: A40NNU), a Swiss social media innovator, has secured a strategic EUR 25 million equity financing agreement with GEM Global Yield (GEM). The facility provides naoo with flexibility to access growth capital and aligns with its plans to scale and enhance its offerings.

Under the terms of the agreement, GEM has committed up to EUR 25 million via a Share Subscription Facility over a 36-month period. naoo may at its own discretion issue shares to GEM at 90% of average of the Closing Bid Prices calculated over the 15 trading days prior to each drawdown. GEM's maximum ownership in naoo is capped at 29.9% of the company’s total issued share capital. Additionally, GEM will receive warrants to purchase 6.25% of naoo’s common stock at a price reflecting a EUR 60 million valuation.The warrants have a 36-month term, offering long-term alignment between GEM’s interests and naoo’s growth objectives.

This equity financing will be implemented through individual prospectus-exempt capital increases using naoo's existing authorized capital range, excluding subscription rights. Listed ordinary shares of naoo AG will be issued.

The financing will enable naoo to accelerate its technological advancements, expand its user base, and pursue acquisitions that reinforce its strategic market position. The flexibility provided by this agreement ensures that naoo can act decisively to seize opportunities that create value for its users and shareholders.
