DGAP-Ad-hoc: Amadeus FiRe AG / Key word(s): Capital Increase AD HOC announcement Amadeus FiRe AG approves capital increase for refinancing the acquisition of Comcave Holding GmbH Amadeus FiRe AG (ISIN DE0005093108) ("Company") intends to increase the share capital of the Company on basis of its authorized capital under exclusion of subscription rights. Amadeus FiRe AG will use the cash contribution of the capital increase to refinance the acquisition of Comcave Holding GmbH. Today the Management Board of the Company has with the consent of the Supervisory Board resolved to increase the share capital of the Company from EUR 5,198,237.00 under exclusion of subscription rights of the existing shareholders by up to EUR 519,823.00 to a total of up to EUR 5,718,060 through issuing of up to 519,823 new no-par value bearer shares (this represents approximately 10 percent of the actual share capital). This capital increase will be executed on basis of the partial utilization of the authorized capital of the Company against cash contribution. The new shares will carry full dividend entitlement for the business year 2020 and will be placed through a private placement via an accelerated bookbuilding with selected qualified institutional and long term oriented investors. The private placement will be launched immediate after this publication. The final number of shares to be issued and the placement price will be determined after completion of the accelerated bookbuilding process. M.M.Warburg & CO (AG & Co.) KGaA will act as Sole Bookrunner of the transaction.
