DGAP-Ad-hoc: Amadeus FiRe AG / Key word(s): Capital Increase AD HOC announcement Amadeus FiRe AG successfully completes capital increase for refinancing the acquisition of Comcave Holding GmbH Frankfurt/Main, August 5, 2020. Amadeus FiRe AG (ISIN DE0005093108) ("Company") has strengthened its share capital. The placement price of the capital increase for refinancing the acquisition of Comcave Holding GmbH amounted to EUR 100 per share, corresponding to gross placement proceeds of around EUR 52,0 m. The placement was heavily oversubscribed. The share capital of the Company was increased from EUR 5,198,237 under exclusion of subscription rights of the existing shareholders by EUR 519,823 to a total of EUR 5,718,060 through the issuance of 519,823 new no-par value bearer shares. The capital increase was executed on basis of a partially utilization of the authorized capital of the Company against cash contribution. The new shares were placed at EUR 100 per share through a private placement via an accelerated bookbuilding process with selected qualified institutional investors. The new shares will carry full dividend entitlement for the business year 2020. The Company will apply for the registration of the capital increase in the commercial register of Frankfurt accordingly; the admission to trading in the regulated market (Prime Standard) is expected for August 11, 2020. With this capital increase Amadeus FiRe makes completely use of the existing authorization of the general assembly of the Company for capital increases under exclusion of subscription rights against cash contribution.
