ATOSS plant Aktiensplit nach vorausgehender Erhöhung des Grundkapitals

Aufsichtsrat und Vorstand der ATOSS Software AG haben heute entschieden, der ordentlichen Hauptversammlung am 30.04.2024 - neben der bereits im Januar dieses Jahres angekündigten Beschlussfassung über die Ausschüttung einer Dividende in Höhe von EUR 3,37 je Aktie – eine Beschlussfassung über eine Kapitalerhöhung aus Gesellschaftsmitteln um Euro 7.953.136,00 auf EUR 15.906.272,00 (§§ 207 ff. AktG) vorzuschlagen. Hierbei ist beabsichtigt, die Kapitalerhöhung durch Ausgabe von 7.953.136 Stück neuen, auf den Inhaber lautenden Stückaktien mit einem rechnerischen Anteil am Grundkapital von EUR 1,00 je Aktie durchzuführen, so dass auf je eine alte Aktie eine neue Aktie ausgegeben wird. Die neuen Aktien sind vorbehaltlich entsprechender Beschlussfassung der Hauptversammlung ab dem 1. Januar 2024 gewinnberechtigt. Es ist geplant die Kapitalerhöhung zum Zwecke des Aktiensplits nach Eintragung der formwechselnden Umwandlung in die Rechtsform der SE durchzuführen. Über die beabsichtigte Umwandlung hatte die Gesellschaft bereits mit Mitteilung vom 17.07.2023 berichtet. Für die Beteiligungsverhältnisse der Aktionäre an der Gesellschaft ergeben sich weder durch die Kapitalerhöhung aus Gesellschaftsmitteln noch durch den Aktiensplit Änderungen. Im Falle der Annahme der Beschlussvorschläge durch die Hauptversammlung und Eintragung der Satzungsänderungen in das Handelsregister wird automatisch für jede bestehende Aktie eine neue Aktie ausgegeben. Infolge der dann um den Faktor 2 (Aktiensplit) gestiegenen Anzahl an Aktien der Gesellschaft wird erwartet, dass sich deren Börsenkurs entsprechend anpasst. Die Tagesordnung der Hauptversammlung 2024 mit den Beschlussvorschlägen der Verwaltung wird voraussichtlich am 20.03.2024 im Bundesanzeiger veröffentlicht.
