Delbrück, 1. Dezember 2022 – Die paragon GmbH & Co. KGaA (ISIN DE0005558696] hat heute mit der CARIAD SE, dem Software-Unternehmen des Volkswagen Konzerns, einen Vertrag zur Übernahme des KI-Spezialisten paragon semvox GmbH, einer Tochtergesellschaft des börsennotierten Automobilzulieferers, unterzeichnet. Der Vollzug der Transaktion unterliegt noch verschiedenen Bedingungen, insbesondere dem Vorbehalt kartellbehördlicher Genehmigungen, und wird im Frühjahr 2023 erwartet.
paragon semvox GmbH beliefert den Volkswagen Konzern als Hauptkunden seit Jahren mit KI-basierten Lösungen für Sprachsteuerung und Mensch-Maschine-Interaktionen. Die Vertragspartner verständigten sich auf einen Kaufpreis von circa EUR 40 Mio.; der finale Kaufpreis ist auf Basis einer Bilanz zum Vollzugstag abschließend zu bestimmen.
Nach Vollzug der Übernahme wird die paragon semvox GmbH eine 100-prozentige Tochtergesellschaft der CARIAD SE. Aktuell arbeiten über 140 Mitarbeiter und Mitarbeiterinnen an den semvox-Standorten Limbach und Nürnberg. Alle Arbeitsplätze bleiben bestehen. Auch die Entwicklerteams von paragon in Indien und China werden semvox weiterhin unterstützen.
