Munich, 17. May 2023 Annual General Meeting of Telefónica Deutschland resolves dividend of EUR 0.18 per share for the financial year 2022
After the company's Annual General Meetings had been held in a virtual format in the past 3 years due to COVID-19 restrictions, this year the company's Annual General Meeting was again held in physical presence. At the Eisbach Studios, the Chairman of the Supervisory Board, Peter Löscher, reported on the activities of the Supervisory Board. CEO, Markus Haas, and CFO, Markus Rolle, presented information on the continued profitable growth in the past financial year as well as the successful completion of the Company’s three-year "Investment for Growth" programme. Building on a robust start to the year 2023, the company strives to continue its profitable growth in the current financial year. Telefónica Deutschland's shareholders resolved, with an acceptance of 99.9% of the capital present, to distribute a dividend of EUR 0.18 per share for the financial year 2022. This corresponds to a dividend payment of approximately EUR 535 million. The shareholders also voted by a large majority to discharge the members of the Management Board and the Supervisory Board for the financial year 2022. PricewaterhouseCoopers GmbH was appointed as auditor and group auditor for the financial year 2023. In addition, the remuneration report for the financial year 2022 was approved and a resolution was passed to approve a modified remuneration system for the members of the Management Board. The Annual General Meeting also approved the amendment of the Articles of Association to authorise the Management Board to conduct a virtual Annual General Meeting, as well as an amendment to the Articles of Association to enable Supervisory Board members to participate in the Annual General Meeting by means of video and audio transmission. The presence of shareholders at the Annual General Meeting was around 87%.
