Martin Hartmann Appointed as New CEO and Florian Seitz as New CFO of Voltabox AG – Patrick Zabel to Leave the Management Board – Majority Shareholder Triathlon Holding GmbH to Sell Its Stake – Acquisition of EKM Elektronik GmbH and Strategic Realignment

Paderborn, February 10, 2025 – The Supervisory Board of Voltabox AG (DE000A2E4LE9) has resolved in today’s meeting to appoint Martin Hartmann as Chief Executive Officer (CEO) and Florian Seitz as Chief Financial Officer (CFO) of Voltabox AG with immediate effect. At the same time, Patrick Zabel, whose regular term was set to run until March 31, 2025, is leaving the Management Board by mutual agreement with the company for personal reasons to take on new professional challenges.

Triathlon Holding GmbH, the majority shareholder of Voltabox AG with a 47.88% stake, has informed the company today of its intention to fully divest its Voltabox shares. A 28% stake in the company’s share capital will be acquired by JIAOGULAN Holding AG, a Liechtenstein-based investment firm, as the new strategic anchor shareholder. Additionally, 12.88% of Voltabox shares will be acquired by Geraer Batterie-Dienst GmbH ("GBD"), an investment company controlled by Martin Hartmann. FAS Beratung und Vermögensverwaltung GmbH, an investment company controlled by Florian Seitz, will take a 7% stake in Voltabox AG.

The respective share purchase agreements are part of a framework agreement concluded today. Accordingly, Voltabox AG, with the approval of the Supervisory Board, has committed to acquire 99% of the shares in EKM Elektronik GmbH ("EKM") from Triathlon Holding GmbH and AXXELLON GmbH, a subsidiary of Triathlon Holding GmbH. The fixed total purchase price is approximately EUR 28.5 million. The acquisition will be financed through a subordinated loan granted by GBD to Voltabox AG in the corresponding amount, which was also agreed upon today and carries an interest rate of 3% p.a. The loan is secured by the pledge of the acquired EKM shares to GBD. EKM specializes in the development, manufacturing, and distribution of solutions in the field of electronic components and devices, enabling Voltabox AG to strategically expand its business operations.

The completion of the share divestments by Triathlon Holding GmbH and the acquisition of EKM’s shares by Voltabox AG remains subject to various conditions, which are expected to be met by the end of February 2025.

Subject to the completion of the aforementioned transactions, Voltabox AG intends to sell all assets related to its "VoltaMobil" business segment to Triathlon Holding GmbH. The VoltaMobil business segment includes the offering of high-voltage battery systems for buses, construction and agricultural machinery, and light commercial vehicles. However, the binding sale of VoltaMobil assets is not part of the framework agreement and will be contractually agreed upon at a later date.

Through these strategic transactions, the new management aims to establish a sustainable and profitable business model for Voltabox AG, forming the foundation for the planned implementation of the company’s growth strategy.
