Annual General Meeting approves capital increase by direct resolution and elects
Dr. Heinrich Zetlmayer to the Supervisory Board

Cologne, 28 June 2022 - 123fahrschule SE (ISIN: DE000A2P4HL9; TickerSymbol: 123F; Open Market Börse Düsseldorf), one of the leading IT-based driving school chains in Germany, held its Annual General Meeting yesterday as a virtual event without the physical presence of its shareholders.

The agenda included the resolution of a capital increase against cash contributions by up to EUR 800,000 with subscription rights for its shareholders. The implementation of the capital increase is currently being evaluated in terms of its type and scope in the current market environment. Quirin Privatbank AG has been commissioned to approach potential investors. The company will only make a final decision regarding the financing options on the basis of investor feedback and the then prevailing market environment. With a successful implementation of the capital increase, 123fahrschule would have the necessary funds to drive forward the company's successful expansion strategy and M&A activities in attractive locations. At the same time, the Annual General Meeting approved a new Authorised Capital 2022 and an authorisation to issue convertible bonds and bonds with warrants granting the company the flexibility it needs for further growth.

Finally, the Supervisory Board was expanded to four members and Dr Heinrich Zetlmayer was elected as the fourth member of the Supervisory Board. Mr Zetlmayer is Managing Director of Skaylink GmbH in Munich and former Vice President at IBM, residing in Rüschlikon, Switzerland.

As Co-CEO and member of the Board of Directors, Dr. Heinrich Zetlmayer played a key role in the development of ESL Gaming GmbH. The Chairman of the Supervisory Board, Mr. Stefan Petter, welcomed the new member of the Supervisory Board: "We are very pleased to have Dr. Heinrich Zetlmayer as a manager with proven expertise in buy & build strategies and scaling companies."
