January 2025 - The management of Aricolin Investments S.A. has decided today to invite the bondholders of the corporate bond “Poco Bond” (DE000A2R28T1) (“POCO Bond”) to a voting without a meeting in the period from February 10, 2025 to February 12, 2025.
As already announced in the ad hoc announcement of 17 January 2025, the restructuring of the POCO bond is part of an overall concept of the planned financing structure. The amount of the repayment of the corporate bond and the profit participation depends largely on the extent to which it is possible to realize disputed claims from project development. If no amicable solution is found with the other party, the legal proceedings could take three years or longer. The subject of the voting without a meeting will essentially be the following: a. Extension of the term of the POCO bond until 31 December 2028; b. Adjustment of the Issuer's right of termination (Section 7.1 of the bond´s terms); c. Supplement of the legal classification of the bonds as profit participation rights under Spanish law and corresponding amendment of the bond´s terms; d. Supplement of the provision on the priority of bridge financing of around EUR 91,790 by the shareholder. The invitation to vote with the agenda and the background to the proposed resolution will be published in the Federal Gazette on 23 January 2025 and will be available from this date on the website of Aricolin Investments S.A. with the necessary forms and other documents at https://www.aricolin-investments.com/ under the heading “Downloads”.
