Annual General Meeting 2021 of ZEAL Network SE
(Hamburg, 1 June 2021) ZEAL Network SE (lotto24.de, tipp24.de), Germany's leading online provider of lottery products, today held its Annual General Meeting (AGM) in Hamburg once again as a virtual meeting. With a presence (including electronic votes cast) of around 75 percent of the voting capital, the management's proposed resolutions on all items on the agenda were adopted with a large majority. In addition to the usual resolutions such as the ratification of the actions of the Management Board and the Supervisory Board as well as the appointment of the auditor, the resolution on the appropriation of the distributable profit was on the agenda. Due to the positive liquidity situation of the ZEAL Group and the expected further increase in profitability, the Management Board and Supervisory Board had proposed a total distribution of EUR 20.2 million to today's AGM (2019: EUR 17.9 million). This corresponds to a dividend for the fiscal year 2020 of EUR 0.90 per share (2019: EUR 0.80). Depending on the economic development of the ZEAL Group, the Management Board and Supervisory Board have also set the target, in line with the published dividend policy, of proposing a dividend of EUR 1.00 per share to the shareholders at the AGM in 2022. In addition to the compensation system for the members of the Management Board and the compensation and compensation system for the members of the Supervisory Board, which were approved with 92.51 percent and 99.79 percent of the voting capital respectively, the proposed capital increase from company funds with subsequent ordinary capital reduction was also approved with a large majority. "By converting part of the committed capital reserve into a free capital reserve, we want to enable efficient equity management in line with the capital markets requirements," says Jonas Mattsson, CFO of ZEAL Network SE. Founded in Germany in 1999, it was initially set up as a lottery broker. In 2005, it was floated on the Frankfurt Stock Exchange (Prime Standard) and became one of the most successful initial public offerings (IPOs) in Germany at the time. In 2009, the Group changed its focus from lottery brokerage to the secondary lottery business. It moved its registered office to London and was renamed as ZEAL Network SE in November 2014. In May 2019, ZEAL completed the takeover of LOTTO24 AG, returned its Tipp24 secondary lottery to the German brokerage business in October 2019 and relocated its registered office back to Germany in the same month.
