Fujitsu hat heute mitgeteilt, dass die im Rahmen des freiwilligen öffentlichen Übernahmeangebots der Fujitsu ND Solutions AG festgelegte Mindestannahmeschwelle von 55 Prozent bis zum Ende der Annahmefrist am 20. April 2022, 24:00 Uhr (MESZ) überschritten wurde. Das Ergebnis des Angebots wird laut Bietergesellschaft voraussichtlich am 25. April 2023 bekanntgegeben. Aktionäre, die ihre Aktien nicht angedient haben, können das Angebot in der gesetzlich vorgesehenen weiteren Annahmefrist, die voraussichtlich am 26. April 2023 beginnt und am 9. Mai 2023, 24:00 Uhr (MESZ) endet, noch annehmen. Vorstand und Aufsichtsrat der GK Software SE hatten in ihrer gesetzlich vorgesehenen gemeinsamen begründeten Stellungnahme zum Übernahmeangebot der Fujitsu ND Solutions AG die Höhe des Angebotspreises von 190 Euro je Aktie als fair und angemessen bezeichnet und den Aktionären die Annahme empfohlen. Der Vollzug des Übernahmeangebots wird noch im zweiten Quartal 2023 erwartet. Die regulatorischen Genehmigungen sind bereits erfolgt.
