Muehlhan AG: Verkauf von Tochtergesellschaften erfolgreich abgeschlossen
Hamburg, den 3. Januar 2023 – Die Muehlhan AG (Open Market; ISIN DE000A0KD0F7; WKN A0KD0F) gibt bekannt, dass der am 24. September 2022 bekannt gegebene Verkauf von ausgewählten Tochtergesellschaften der Muehlhan AG insbesondere in Europa und in den USA sowie die Marke „Muehlhan“ an die Muehlhan Holding GmbH (vormals Shield BidCo GmbH), einem Unternehmen des US-Private Equity Investors One Equity Partners, am 31. Dezember 2022 abgeschlossen wurde. Der Festkaufpreis beträgt € 58,9 Mio. Der Kaufpreis wurde bis zum Vollzugsstichtag mit insgesamt € 4,4 Mio. verzinst. Zusätzlich hat der Käufer am Vollzugsstichtag Gesellschafterdarlehen der Muehlhan AG in Höhe des Nominalbetrags von € 18,1 Mio. abgekauft. Der Kaufpreis, die Zinsen sowie die Gesellschafterdarlehen wurden vom Käufer im Rahmen des Vollzugs des Kaufs bezahlt. Nicht verkauft werden die Tochtergesellschaften in Russland, Indien, Kanada, auf den Bahamas und im Mittleren Osten. Vorstand und Aufsichtsrat beabsichtigen, den nach Rückführung von Finanzverbindlichkeiten verbleibenden Teil des der Gesellschaft zugeflossenen Kaufpreises, sobald und soweit gesetzlich zulässig, an die Aktionäre auszuschütten.
