The Management Board and Supervisory Board of Your Family Entertainment Aktiengesellschaft (WKN: A161N1, ISIN: DE000A161N14, symbol: RTV) today resolved, based on the authorization resolution of the Annual General Meeting of June 28, 2022, to issue a convertible bond with a total nominal amount of up to EUR 3,828,297.50, divided into up to 1,531,319 bearer bonds with pari passu, each with a nominal value of EUR 2.50.
The term of the convertible bond begins on April 23, 2025, and ends on April 22, 2028. The issue price of each bond is 100% of the nominal amount, i.e. EUR 2.50. Each bond bears interest at a rate of 5.0% per annum, based on its nominal amount. Shareholders are entitled to subscribe for one new bond for each share at a subscription ratio of 10:1. The option to subscribe for more bonds is provided for. The subscription period runs from April 4, 2025, to April 17, 2025 (inclusive), with no trading of subscription rights planned. The corresponding subscription offer is expected to be published in the Federal Gazette on April 2, 2025. The company intends to offer all bonds not previously subscribed for under the subscription rights to interested investors for purchase in a private placement at the end of the two-week subscription period. The plan is to use the proceeds from the issue to finance growth initiatives and ongoing process improvements. The subscription offer and the terms and conditions of the convertible bond are expected to be available on the company's website at www.yfe.tv in the Investor Relations section starting April 2, 2025.
