Kempten (Allgäu), den 23. Februar 2022 - Der Vorstand der WR Wohnraum AG, Kempten, (ISIN: DE000A2P8KF6 , WKN: A2P8KF) hat mit Zustimmung des Aufsichtsrates beschlossen, das Grundkapital der Gesellschaft unter vollständiger Ausnutzung des Genehmigten Kapitals 2020 sowie teilweiser Ausnutzung des Genehmigten Kapitals 2020/II von EUR 1.303.750 um EUR 130.374,00 auf EUR 1.434.124,00 durch Ausgabe von 130.374 neuen auf den Inhaber lautenden Stückaktien gegen Bareinlagen unter Ausschluss des Bezugsrechts der Aktionäre zu erhöhen. Die neuen Aktien sind ab dem 1. Januar 2020 gewinnberechtigt und werden im Rahmen einer Privatplatzierung zum Erwerb angeboten werden. Der Ausgabebetrag wurde auf EUR 20,00 je neuer Aktie festgelegt. Damit unterschreitet der Ausgabebetrag der neuen Aktien den gewichteten Durchschnittskurs der bestehenden Aktien im Freiverkehr an der Börse München am Tag der Beschlussfassung nicht wesentlich. Die neuen Aktien sollen in die bestehende Notierung im Freiverkehr der Börse München einbezogen werden. Sowohl das Angebot als auch die Einbeziehung der neuen Aktien zum Handel im Freiverkehr der Börse München erfolgen prospektfrei. Der Nettoerlös aus der Kapitalerhöhung soll vor allem dafür verwendet werden, um der Gesellschaft auch künftig die Möglichkeit einzuräumen, schnell und flexibel die Eigenkapitalbasis der Gesellschaft zu stärken.
