IONOS Group SE beschließt Aktienrückkaufprogramm

Der Vorstand der IONOS Group SE hat beschlossen, ein Aktienrückkaufprogramm aufzulegen und bis 1.500.000 eigene Aktien (dies entspricht ca. 1,1 % des Grundkapitals von 140.000.000 EUR) über die Börse zu erwerben. Das Volumen des Rückkaufprogramms beträgt insgesamt bis zu 40 Mio. EUR (ohne Erwerbsnebenkosten). Der Aufsichtsrat hat dem Beschluss des Vorstands heute zugestimmt. Das Rückkaufprogramm soll in den nächsten Tagen beginnen und längstens bis zum 31. Dezember 2025 durchgeführt werden. Der Rückkauf erfolgt unter anderem zur Bedienung von Ansprüchen aus Mitarbeiterbeteiligungsprogrammen, kann aber grundsätzlich für alle in der Hauptversammlungsermächtigung genannten Zwecke verwendet werden. Damit macht die IONOS Group SE von der durch die außerordentliche Hauptversammlung am 26. Januar 2023 erteilten Ermächtigung Gebrauch, wonach bis zum 31. August 2026 eigene Aktien im Umfang von bis zu 10 % des zum Zeitpunkt der Beschlussfassung bestehenden Grundkapitals bzw., falls dieser Wert geringer ist, des zum Zeitpunkt der Ausübung der Ermächtigung bestehenden Grundkapitals der Gesellschaft zurückgekauft werden dürfen. Auf Basis dieser Ermächtigung wurden bisher 850.000 eigene Aktien (ca. 0,61 % des Grundkapitals von 140.000.000 EUR) erworben und die Gesellschaft hält derzeit 463.565 eigenen Aktien (0,33 % des Grundkapitals). Der Aktienrückkauf wird sich an den Regelungen der Verordnung (EU) Nr. 596/2014 des Europäischen Parlaments und des Rates vom 16. April 2014, zuletzt geändert am 4. Dezember 2024, und der Delegierten Verordnung (EU) 2016/1052 der Kommission vom 8. März 2016 orientieren. Weitere Einzelheiten werden vor Beginn des Aktienrückkaufprogramms veröffentlicht werden. Die IONOS Group SE behält sich das Recht vor, das Aktienrückkaufprogramm jederzeit einzustellen.
